Case Study 1: Non Payment Issue, CAD

1.Background:

  • TechElectronics Co., a South Korean manufacturer of high-quality electronic components, entered into a contract with an Indian electronics assembly company, IndElectro Pvt Ltd. The contract, valued at $200,000, was for the delivery of specialized microchips. The payment terms were Cash Against Documents (CAD), meaning IndElectro Pvt Ltd. was to make payment upon receiving the shipping documents.

2.Events:

  • Production and Shipment:

    • TechElectronics Co. produced the microchips and shipped them to India. The shipment was accompanied by all necessary documentation, including the bill of lading, commercial invoice, packing list, and certificate of origin. These documents were sent to TechElectronics' bank in South Korea.

  • Payment and Document Release:

    • According to the CAD terms, TechElectronics' bank would release the shipping documents to IndElectro Pvt Ltd.'s bank only after receiving full payment. However, IndElectro Pvt Ltd. did not make the payment, citing unexpected financial difficulties.

  • Withholding Documents:

    • As per the CAD agreement, TechElectronics Co.’s bank did not release the shipping documents. Without these documents, IndElectro Pvt Ltd. could not claim the shipment at the Indian port, leading to the microchips being held at the port. This was basically a non-payment issue.

  • Legal Action by the Forwarder:

    • The freight forwarder, who was responsible for transporting the goods and whose payment depended on the successful delivery, faced significant financial strain due to the situation. After repeated attempts to resolve the issue with IndElectro Pvt Ltd. and TechElectronics Co., the forwarder decided to take legal action to recover their costs and compel the release of the documents.



3.Court Case and Verdict:

The forwarder filed a lawsuit in an Indian court against IndElectro Pvt Ltd., seeking payment for their services and damages due to the delay. The court examined the contract and the actions of both parties. IndElectro Pvt Ltd. was found guilty of breaching the payment terms stipulated in the CAD agreement. The court ordered IndElectro Pvt Ltd. to pay the full contract amount plus damages to the forwarder and TechElectronics Co.

4.Resolution and Outcome:

Following the court's ruling, IndElectro Pvt Ltd. made the required payment. TechElectronics Co.’s bank then released the shipping documents, allowing IndElectro Pvt Ltd. to claim the shipment. The forwarder received their payment along with compensation for the delay.

5.Conclusion:

This case study illustrates the critical importance of adhering to payment terms in international trade agreements. The CAD payment method, which withholds shipping documents until payment is made, provided a safeguard for TechElectronics Co., ensuring they retained control over the shipment until payment was secured. The legal action by the forwarder underscores the potential complexities and financial risks involved when payment terms are not honored. It also highlights the importance of clear contractual agreements and the role of legal systems in enforcing trade agreements.
